Terms of service

These terms are an agreement between Saim Tech (a business trading under that name, 63 E1 Wapda Town, Lahore 54700, Pakistan) (“we”) and the business that installs Termpact on a Shopify store (“you”). By installing or using Termpact you accept them. Shopify’s own terms continue to apply to your store.

1. The service

Termpact is a Shopify app for wholesale (B2B) selling: contract pricing, order rules, credit limits and holds, receivables, a buyer portal and an order inbox. Features depend on your plan. We may improve or change features; we won’t remove a core feature of your paid plan during a billing period without notice and a pro-rata refund.

2. Your account and staff

You are responsible for who in your store can use Termpact and for their roles, and for keeping your Shopify account secure. Tell us promptly at support@termpact.com about any unauthorised use.

3. Plans, trials and billing

  • Plans and prices are shown on the Plan and billing page in the app. Every plan is paid and currently starts with a 2-day free trial (one trial per store). Until you choose a plan, contract prices and order rules don’t apply at checkout.
  • Shopify bills you for Termpact on your Shopify invoice, in 30-day periods or yearly. Shopify’s billing terms apply; we never handle your card details.
  • AI documents beyond your plan’s included amount cost $0.25 each, up to a monthly cap you set (default $25). When the cap is reached, the order inbox pauses until the next month or until you raise the cap.
  • If a payment fails, you have 7 days to fix it. After that Termpact switches to limited mode: contract prices and order rules stop applying at checkout (your store uses Shopify’s normal prices) and your data is kept until the plan is active again or the app is uninstalled.
  • Downgrading to a plan with fewer active companies: you choose which companies to keep; otherwise the most recently linked ones beyond the limit are unlinked on the date shown in the app.
  • Fees are non-refundable except where these terms or the law say otherwise.

4. Your data

You own your store’s data. You instruct us to process it to provide Termpact, as described in our Privacy policy and Data processing addendum, which form part of these terms. You are responsible for having the right to give us the data you put into Termpact (including buyers’ personal data and documents sent to the order inbox) and for your own notices to your customers.

5. Your settings are your decisions

Termpact applies the prices, rules and credit settings you configure. Credit limits, payment terms and holds are your own risk settings for your own customers; Termpact is not a lender, does not extend credit and does not guarantee payment by your customers. Check your configuration with Check a price in the app before relying on it. Data extracted from documents by AI is a draft for your review; you are responsible for the orders you create from it.

6. Acceptable use

Don’t misuse Termpact: no attempts to access other merchants’ data, interfere with the service, reverse engineer it beyond what the law allows, send unlawful or infringing content, or use it to send spam.

7. Availability and checkout

Termpact is designed so that checkout does not depend on our servers: if Termpact is unavailable, checkout continues with the last settings stored in your store, and the emergency switches on the System status page can return checkout to Shopify’s normal behaviour at any time. We aim for high availability but don’t promise uninterrupted service.

8. Uninstalling

You can uninstall Termpact at any time from Shopify admin. Shopify ends the subscription. We delete your store’s data as described in the Privacy policy (Shopify sends the deletion request 48 hours after uninstall). Export your data from Export or leave first if you need it.

9. Warranties

Termpact is provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Liability

To the extent the law allows: neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and our total liability for all claims in any 12-month period is limited to the fees you paid us for Termpact in that period. These limits don’t apply to liability that can’t be limited by law.

11. Indemnity

You will defend and indemnify us against third-party claims arising from your store’s content, your configuration choices or your breach of these terms.

12. Termination

You may stop at any time by uninstalling. We may suspend or end your access for material breach, non-payment or unlawful use, with notice where reasonable.

13. Changes to these terms

We will post changes here and notify you in the app at least 30 days before material changes apply. Continuing to use Termpact after that means you accept them.

14. General

Section titled “14. General”

These terms are governed by the laws of Pakistan, excluding conflict-of-law rules; the courts at Lahore, Pakistan have exclusive jurisdiction, unless the law of your country requires otherwise. If a provision is unenforceable, the rest remains in effect. These terms, the Privacy policy and the Data processing addendum are the entire agreement about Termpact.
